L2 with a approved H1

I have an approved H1b that was applied in Apr 2014. I do not have this visa stamped and would not like to enter the US through this employer. My spouse will apply for a blanket L1 through his company. I now have two options to enter the US: - through a L2 , through a H1 . My questions are 

 

1) Is it necessary to be on a dependent  visa to be eligible to apply for a GC under cross chargeability as my spouse was born in a favourable country?

2) Can I apply for L2 outside India, if necessary  after a H1B stamping?(In case I am unable to find an employer for H1B before entering the US)
