Hold Valid H1B outside USA - Am I cap exempt for new/tranfer H1 with different employer

I am having a valid H1 visa, currently outside of USA.

I quit my previous employer and moved out of USA.

Now I have an offer for a different employer.

Am I cap exempt for the H1 visa from the different employer.

if you have a valid visa stamp on you passport do you need to get it restamped when this petition approves ?

I am in a similar condition. Have a valid H1b stamped on passport. Out of USA. Not working with the same employer for more than a month. Have a new Offer with H1b filing. Share experience from your attorney.
