L1- H1b COS and transfer without H1 Stamping

Hello all, i entered US in July 2010 in L1b VISA with employer A and the same employer processed my h1b this year and got Change of Status approved from Oct 13 - Sep 2015. Now another employer B is offering me a job.

My questions are

1) Will employer B able to do a H1 Transfer without my H1b VISA stamped in my passport? I have Approved Change of status petitoin and new I94.

2) Will L1b years be included as part of the H1b 6 years calculation?
