I-94 validity and H1 transfer

I have transfered my H1 from Company A to B on May 20th 2012,after applying immiditealy traveled out of country i.e on May31st,got the approval notice from B on June 13th and Valid until June 2014.

I came back to USA on June 18th 2012 and the company B not send the approved documents and asked me to come on Company A visa and I-94 which is valid until September 31 2012.

Now i am transfrering My H1 with company C i.e on Nov 12 2012,but they said i am in out of status because the active 94 is for Comapny A.

They suggested me immidiately leave the countr and they will tranfer the H1 and send the documents to me

then I will go for stamping.

My qyestions are as below

1.If the I-94 is not valid,is can apply for H1 transfer.

2.They need two weeks of time to start the h1 transfer because of LCA post etc,but while processing the transfer i will not be in the country,is it legal to transfer h1 when i am in out of country.

3.What is the best solution for me to continue my stay in US?
