Filing AOS in Feb though eligible to file in Jan 2012

Hi All,

My priority date is Nov 2008 EB2

Eligible to file as of Jan 2012. But to delay it might be file in Feb 3rd week.

My question is:

What is the disadvantage of filing AOS in Feb instead of Jan.

simple question is the available visa numbers gets assigned as per the first come basis (receipt date) or as per the priority date?
