Do I need Approved I-140 for 60 days grace period grant ?

I am planning on moving to company B from company A, now if company A withdraws my H1B petition before company B applies for H1B transfer, will I be eligible for 60 days grace period. I do not have my I-140 cleared, but my I-94 is valid for 1 more year.
