H1B Transfer And Extension Simultaneously

I work for a company ABC and my H1B visa expires on 28th March 2015, and I94 on 7th April,2015. My company ABC has already filed my extension.However I have a new offer from company XYZ and they are ready to start my H1 transfer. 

 

1.Is it possible for company XYZ to file this H1B transfer while there is an application for extension pending from company ABC in USCIS? 

 

 2.If yes what kind of legal issues or complicated scenarios are there that I might run into?
